Terms of Service

These Terms of Service (“Terms”) govern your access to and use of TileMoments.com and any related services, features, tools, content, checkout flows, communications, and, if applicable, mobile experiences we provide (collectively, the “Services”).

TileMoments allows users to upload photos, images, and related content (“Images”) in order to create personalized wall art, framed photo tiles, and other custom home décor products (collectively, the “Products”).

You may use the Services only if:

• you are at least 18 years old, or
• you are using the Services with the permission and supervision of a parent or legal guardian.

By using the Services, you represent and warrant that:

• the information you provide is accurate and current;
• you have legal capacity to enter into a binding agreement;
• your use of the Services does not violate any applicable law or the rights of any third party; and
• you are responsible for obtaining any necessary consent before uploading photos or personal information of any other person, including children.

We may update these Terms from time to time. If we make material changes, we may post the revised Terms on the website and update the “Last Updated” date above. Your continued use of the Services after the updated Terms take effect means you accept the revised Terms.

We may also change, suspend, or discontinue any part of the Services at any time, provided that such changes will not affect confirmed orders already accepted by us except where necessary for legal, operational, or security reasons.

You may be able to place an order as a guest or create an account. If you create an account, you agree to:

• provide accurate, complete, and up-to-date information;
• keep your login credentials secure;
• be responsible for all activity under your account; and
• notify us promptly if you believe your account has been accessed without authorization.

You may not impersonate another person, use false information, or use an email address that you do not have the right to use. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent, abusive, or unlawful.

TileMoments offers custom-made Products based on the Images and selections you submit, including photo tiles, framed prints, and other personalized wall décor items.

Because Products are custom-made:

• you are responsible for reviewing your order carefully before submitting it;
• you are responsible for the accuracy of uploaded Images, cropping choices, text, colors, sizes, frame selections, layouts, and shipping details;
• slight variations in color, brightness, contrast, sharpness, cropping, texture, and print placement may occur due to screen settings, printing processes, materials, and manufacturing tolerances.

We reserve the right to reject any order at our discretion, including where content violates these Terms, where pricing or product information contains an error, or where fraud is suspected. An order is not finally accepted until we confirm it.

The Services may allow you to upload, store, submit, or transmit Images, design choices, text, and other materials (“User Content”).

You retain ownership of your User Content. However, by uploading or submitting User Content through the Services, you grant TileMoments a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, modify solely as needed for formatting/production, print, process, store, and transmit that User Content only for purposes of:

• providing the Services;
• producing and fulfilling your order;
• quality control, fraud prevention, support, and operational needs;
• maintaining your order history and account functionality; and
• complying with legal obligations.

This license ends when your User Content is deleted from our systems, except to the extent retention is necessary for completed orders, backups, legal compliance, dispute resolution, or legitimate business recordkeeping.

You may not upload, submit, order, store, or transmit any content that:

• infringes another person's intellectual property or other rights;
• is unlawful, fraudulent, misleading, or defamatory;
• contains pornography, explicit sexual content, or nudity that we determine is inappropriate for production;
• promotes hate, discrimination, harassment, threats, or violence;
• depicts child sexual exploitation or abusive content of any kind;
• contains malware, viruses, or harmful code;
• violates any applicable law, regulation, or court order; or
• is otherwise offensive, abusive, or unsuitable for our platform or manufacturing partners.

We may refuse, remove, cancel, or suspend any order or account associated with prohibited content, without prior notice.

You should not upload content containing sensitive personal data unless you have all rights and consents required by applicable law. This includes, where relevant, information revealing health details, biometric data, racial or ethnic origin, religious beliefs, sexual orientation, or other specially protected categories of data.

If you upload Images of children or submit personal data relating to children, you represent and warrant that you have obtained all legally required permissions from a parent or legal guardian.

If the Services include features that connect to your device gallery, cloud photo library, or third-party services such as Google Photos, Apple Photos, Instagram, Facebook, or similar services, you authorize us to access only the information necessary to provide the requested functionality, subject to your settings and our Privacy Policy.

If we offer visualization tools such as room previews, wall previews, augmented reality, or design assistance features, those tools are provided for convenience only. They may not perfectly reflect the final appearance, scale, color, spacing, or texture of the delivered Product.

Prices are listed on the website and may change at any time before you place an order. The price charged will be the price shown at checkout at the time you submit the order, except in the case of obvious pricing errors.

You agree to provide valid payment information and authorize us and our payment processors to charge the full amount of your order, including applicable taxes, shipping fees, duties, and other charges displayed at checkout.

Unless otherwise stated, all amounts are in USD “$”.

Delivery times shown on the website are estimates only. Actual production and shipping times may vary based on order volume, destination, carrier delays, weather, customs processing, holidays, and other factors beyond our control.

You are responsible for providing a complete and accurate shipping address. We are not responsible for delays, losses, or extra costs caused by incorrect address information supplied by you.

For international orders, you may be responsible for customs duties, import taxes, VAT, brokerage fees, or other local charges unless otherwise stated at checkout.

If your order arrives damaged, defective, or materially different from what you ordered, you must contact us within 14 days of delivery at support@tilemoments.com and include your order number, a description of the issue, and photos if requested.

We are not required to provide refunds for issues caused by:

• low-resolution or poor-quality uploaded Images;
• user-selected cropping, edits, layouts, or design choices;
• minor color differences caused by screens or print processes;
• normal wear and tear; or
• damage caused after delivery through improper installation, handling, or storage.

From time to time, we may offer discount codes, referral credits, promotions, or limited-time offers. Unless expressly stated otherwise:

• promotions cannot be combined;
• promotions have no cash value;
• promotions may be revoked if used improperly, fraudulently, or in violation of the applicable promotional terms.

All rights in the Services, website design, software, graphics, branding, text, logos, product names, trademarks, functionality, and other content provided by TileMoments — other than your User Content — are owned by or licensed to TileMoments and are protected by intellectual property laws.

Except as expressly allowed by these Terms, you may not:

• copy, reproduce, distribute, modify, republish, scrape, frame, mirror, or create derivative works from the Services;
• reverse engineer or attempt to extract source code;
• use our trademarks, logos, or brand elements without prior written permission; or
• use the Services for unauthorized commercial purposes.

We respect intellectual property rights. If you believe that any content made available through the Services infringes your copyright or other intellectual property rights, please send a notice to: PR@tilemoments.com

Your notice should include sufficient detail for us to identify the material, the claimed rights, and how to contact you. If you knowingly submit false claims, you may be subject to liability.

You agree not to:

• use the Services for unlawful or unauthorized purposes;
• interfere with or disrupt the operation or security of the Services;
• upload malicious code or attempt to bypass security measures;
• scrape, crawl, or data-mine the website without permission;
• use bots or automated tools to place orders or extract data;
• impersonate any person or misrepresent your affiliation;
• abuse customer support, promotions, or refund processes; or
• use the Services in any way that could harm TileMoments, other users, manufacturing partners, or service providers.

The Services may contain links to third-party websites, tools, platforms, or services. We do not control and are not responsible for those third parties, their availability, their content, or their privacy and business practices. Your use of any third-party service is at your own risk and may be governed by separate terms and policies.

We do not guarantee that:

• the Services will always be available, secure, or error-free;
• the website will operate without interruption;
• all defects will be corrected;
• the final printed Product will exactly match on-screen previews; or
• the Products will meet every subjective expectation.

To the fullest extent permitted by law, TileMoments and its officers, directors, employees, affiliates, contractors, licensors, suppliers, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, business interruption, emotional distress, or property damage arising out of or related to your use of the Services or Products.

Our total cumulative liability for any claim arising out of or related to the Services or Products shall not exceed the amount you paid to us for the specific order giving rise to the claim, or if greater protection is required by applicable law, the minimum amount required by law.

You agree to defend, indemnify, and hold harmless TileMoments and its affiliates, officers, directors, employees, contractors, licensors, partners, and agents from and against any claims, liabilities, damages, losses, judgments, awards, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• your User Content;
• your misuse of the Services;
• your violation of these Terms;
• your violation of any law or regulation; or
• your infringement of any third-party rights.

If a dispute cannot be resolved informally within 60 days, then, to the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any Products shall be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.

You and TileMoments agree that:

• arbitration will be conducted on an individual basis only;
• class actions, class arbitrations, collective actions, and representative actions are waived to the fullest extent permitted by law;
• the arbitrator may award the same remedies available in court on an individual basis;
• this arbitration agreement is governed by the Federal Arbitration Act if applicable.

Unless otherwise required by applicable law or agreed by the parties, arbitration shall be administered by the American Arbitration Association (AAA) under its applicable consumer or commercial rules then in effect. To initiate arbitration, send a written notice of dispute to pr@tilemoments.com with the subject line: LEGAL NOTICE.

These Terms and any dispute arising out of or relating to them shall be governed by the laws of Delaware, without regard to conflict of law principles. If a dispute is permitted to proceed in court rather than arbitration, it shall be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

We may suspend, restrict, or terminate your access to the Services at any time if we reasonably believe that you have violated these Terms, you are using the Services fraudulently or unlawfully, your activity creates legal or security risk, or we are required to do so for legal or operational reasons.

By using the Services, creating an account, or placing an order, you consent to receive electronic communications from us, including order confirmations, shipping updates, account notices, customer service responses, and legal notices. You are responsible for keeping your contact information current.

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and TileMoments regarding the Services.

Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
